Our Buy-Side M&A services provide a comprehensive approach, guiding clients through every stage of the acquisition process:

  • Initial Review: We begin with an in-depth review of the seller’s CIM and participate in management presentations to gain a thorough understanding of the target company.
  • Valuation and Risk Analysis: We develop preliminary valuation models and perform risk analysis using SWOT and PESTLE frameworks, ensuring the buyer makes an informed decision before submitting an Indication of Interest (IOI).
  • Post-IOI Engagement: After the IOI submission, we conduct a detailed review, including preliminary due diligence. This involves analyzing the seller’s submissions and meeting with the seller’s executives to refine the valuation model and adjust the offer before finalizing the Letter of Intent (LOI).
  • Comprehensive Due Diligence: Upon LOI acceptance, we perform a thorough operational and financial due diligence. Our team identifies any previously overlooked deal points, meets with the seller’s process owners, and reviews key financial metrics such as working capital, stand-alone costs, and potential synergies.
  • Financial Forecasting & Transition Planning: At this stage, we prepare day-one and post-transaction cash flow forecasts (13-week cash forecast) and develop a detailed 100-day transition plan.
  • Transition Services Agreement: We also evaluate the need for a Transition Services Agreement to ensure seamless integration post-transaction.
