We take ownership of assisting boutique to mid-sized private equity firms, family funds, and companies throughout all phases of their M&A process. Our team will review the CIM, participate in management presentations, complete preliminary valuation models, and provide feedback through our Pros vs Cons analysis. This will enable the buyer to make an informed decision before completing the Indication of Intent (IOI).

We can then continue to be engaged after the LOI to further assist the company with more in-depth review by performing a preliminary due diligence (e.g., reviewing detail submitted by the seller into the data room and meeting with key management personnel) and revise the valuation model for any changes in assessment so the Company can update their offer prior to completing the LOI.  If the LOI is accepted by the seller, then our professional will perform a full detailed due diligence that will identify any deal points that weren’t previously considered and complete a detailed transition plan that considers the need for a TSA and stand-alone costs along with synergies.

  • Stage before IOI: Review CIM, Participate in Management Presentations, Preparation of valuation model and summary of transactions Pros/Cons.
  • Stage before LOI: Preliminary due diligence, key management meetings, and update valuation model.
  • Stage after LOI: In-depth due diligence, meet with seller’s process owners, identify any deal points to further adjust the purchase price, review working capital and day-one/post-transaction cash needs, review the completeness for any TSA, assist with preparing the transition plan for integration/restructuring/synergies, work with company management on preparing the 100-day plan for post-acquisition.
